## Beskrivelse

The Company's objects are to conduct business within the environmental and energy sector and related activities. On 16 December 2024, Renescience A/S entered into a Share Purchase Agreement for the sale of its subsidiaries, Ørsted Renescience Northwich Ltd. and Ørsted Renescience Northwich O&M Ltd. The transaction was completed on 31 October 2025. A key term of the agreement required the subsidiaries to be sold on a debt-free basis. To satisfy this condition, Renescience A/S made an additional capital contribution to Ørsted Renescience Northwich Ltd. prior to closing. This capital injection was impaired to reflect the impact of the transaction in the Annual Report. Following the transaction, the Company has very limited activity.
