Dan-Bidco ApS

The Company’s principal activity is holding investments in subsidiaries. Dan-Bidco ApS was incorporated on 24 May 2023 as the acquisition vehicle for the Unisport transaction. On 11 July 2024, R-GOL Sp. z o.o., a leading multi-brand football retailer and distributor in Central and Eastern Europe (CEE), backed by Innova Capital, completed the acquisition of Unisport Holding ApS and its subsidiaries through Dan-Bidco ApS. The acquisition was financed through a combination of equity contributions from R-GOL, a management rollover investment by selected former Unisport shareholders and acquisition financing provided by a banking syndicate. Following completion of the transaction, R-GOL became the majority shareholder of Dan-Bidco ApS, while certain key Unisport managers reinvested part of their sale proceeds and retained minority ownership interests in Dan-Bidco ApS pursuant to management reinvestment arrangements entered into in connection with the acquisition. On 28 March 2025 and 18 August 2025, additional share transfers were completed between certain minority shareholders and R-GOL. As a result, as at 1 September 2025, R-GOL held 99.57% of the share capital and voting rights in Dan-Bidco ApS, while the remaining shares were held by Michael Johannes Burk and Jimi Petersen. All shares in Dan-Bidco ApS are pledged as security in favour of Bank Polska Kasa Opieki S.A., acting as security agent for the financing parties under the acquisition financing arrangements.
