- primary activities • The Company’s principal activities comprise development and production of components for INERGEN fire suppression systems as well as sale, service, and installation of fire suppression systems for industry, data centres, technical installations, energy facilities, museums, military applications, offshore installations, high-bay warehouses, marine applications, and buildings deemed worth preserving.

The Company operates internationally with a strong position within specialized fire suppression solutions where reliability, certification, and technical know-how are key competitive parameters. The Company’s activities are supported by long-standing customer relationships, specialized engineering competencies, and continuous development of products and digital tools supporting customers and authorities. • entity

- development in activities and financial affairs • The income statement of the Company for 2025 shows a profit of DKK 19,700,104, and at 31 December 2025 the balance sheet of the Company shows an equity of DKK 75,661,307.

During the year, the Company continued investments in commercial development, export activities, and digitalization initiatives supporting future growth. The overall activity level increased compared to prior years supported by continued demand across core export markets and selected strategic segments, also raising profitability including the continued investments in market expansion and organizational development.

The investments made in previous years within market development, product capabilities, digital tools, and organizational strengthening continue to support the Company’s long-term growth ambitions.

For information purposes, EBITDA for the Fire Eater companies, assuming full ownership Fire Eater AS and before one-off costs, amounted to DKK 34 million in 2024 and DKK 38 million in 2025.

Business CombinationsEffective from 1 January 2025, Fire Eater A/S was merged with FE Blue Holding ApS and FE Finans ApS. The merger has been completed using the pooling-of-interests method and with restatement of comparative figures as if the enterprises had always been combined by restating comparative figures. Management expects the merger to support operational efficiencies, simplify the group structure, and strengthen the Company’s platform for future growth and development. • entity

- expected development • The Company expects continued activity growth in 2026 driven by increased penetration of existing markets and further expansion into selected export markets and selected segments.

For 2026, Management expects revenue growth in the range of 5-10%, supporting increased profitability. Earnings may be impacted by continued investments in commercial development, digitalization, and product capabilities and the Company expects profit before tax in the range of DKK 27-32 million.

The Company acquired the remaining 50% of Fire Eater AS in December 2025. The expected profit for 2026 is positively affected by the income in investments in subsidiaries, but the other hand negatively affected by the amortization of goodwill related to the acquisition.

For information purposes, EBITDA for the Fire Eater companies including Fire Eater AS and before one-off costs, is expected in the range of DKK 35-40 million in 2026.

The continued investments undertaken are expected to further strengthen the Company’s long-term competitiveness and support profitable growth in the coming years. • entity

- result compared with expectations • In 2025, the Company executed its planned investments in new export markets and increased activities in existing markets, which were expected to have a modest impact on profitability. Compared to last year, the profit before tax improved by DKK 2.4 million and is considered satisfactory in light of these investments and the expectations communicated in the 2024 Annual Report. • entity

- management review • Foreign exchange risks

Foreign exchange risks primarily relate to the Company’s operating activities, where revenues and costs are denominated in currencies other than DKK. In addition, the Company is exposed to foreign exchange risks relating to intercompany balances as well as trade receivables and trade payables. The Company is primarily exposed to NOK, SEK and USD. As a result, profit, cash flows and equity are affected by fluctuations in exchange rates. • entity

The Company’s employees and technical competencies constitute a significant business resource and an important prerequisite for continued development and growth.

The Company continues to focus on retaining and developing key competencies within engineering, project execution, sales, and technical support. Management considers the Company’s knowledge base and employee competencies to be a key competitive strength.

External environmentThe Company is ISO 14001 certified and continuously works to improve environmental and sustainability-related initiatives across its operations.

Environmental considerations form an integrated part of the Company’s operational procedures, product development activities, and production processes. The Company continues to focus on environmentally responsible operations and development of sustainable fire protection solutions.

Intellectual capital resources

The Company’s employees and technical competencies constitute a significant business resource and an important prerequisite for continued development and growth.

The Company continues to focus on retaining and developing key competencies within engineering, project execution, sales, and technical support. Management considers the Company’s knowledge base and employee competencies to be a key competitive strength.

Treasury sharesThe Company owns treasury shares of a nominal amount of 2,725 shares, equivalent to 0.52% of the share capital.

Statutory report on corporate governanceThe Company’s ultimate majority shareholder, Capidea, is a member of Active Owners, which has issued “Guidelines for responsible ownership and good cooperate governance”. The Group is not subject to these​ guidelines, as they apply to companies that meet the criteria for accounting class C, large. The Group's implementation of the guidelines will be continuously assessed, and reporting on this will be included in future annual reports.

Capidea is represented on the board by Partner Carsten Yde Hemme and Investment Manager Oliver Højrup. Board meetings are held at least four times a year, and no special board committees have been established. • entity

- recognition measurement uncertainty • There has been no uncertainty regarding recognition and measurement in the Annual Report. • entity

- unusual matters • The financial position at 31 December 2025 of the Company and the results of the activities of the Company for the financial year for 2025 have not been affected by any unusual events. • entity

- subsequent events • No events materially affecting the assessment of the Annual Report have occurred after the balance sheet date. • entity

- contingent liabilities • Rental and lease obligationsThe Company has total future lease payments of DKK 7,913 thousand relating to operating rental and lease agreements.

Other contingent liabilities

The Danish group companies are jointly and severally liable for tax on the jointly taxed incomes etc of the Group. The total amount of corporation tax payable is disclosed in the Annual Report of TopCap FE ApS, which is the management company of the joint taxation purposes. Moreover, the Danish group companies are jointly and severally liable for Danish withholding taxes by way of dividend tax, tax on royalty payments and tax on unearned income. Any subsequent adjustments of corporation taxes and withholding taxes may increase the Company's liability.

Other financial obligationsThe Company has entered into distribution agreements with several suppliers. These agreements include various purchase-related commitments. Under certain agreements, the Company is subject to specific purchase obligations linked to minimum purchase volumes or supply arrangements. Other distribution agreements do not impose any contractual purchase obligations on the Company.Overall, the Company's obligations under these arrangements vary by supplier and may include commitments related to purchase or other operational requirements. Where no such contractual obligation exist, purchases are made based on operational needs and market conditions.On 31 December 2025 the Company's commitments related to Mutual beneficial agreements were DKK 21,873,246.. • entity
