- primary activities • Koncernens og selskabets væsentligste aktiviteterKoncernen har i perioden som i tidligere år udført almindelige entreprenøropgaver med hovedvægt på trafikal infrastruktur, etablering og renovering af forsyningsledninger samt anlæg og vandbygningsarbejder.Munck Civil Engineering Arctic er endvidere entreprenør på udførelse af to lufthavnsbyggerier i Grønland henholdsvis Nuuk og Ilulissat. I Nuuk er projektet færdiggjort i efteråret 2024. Projektet i Ilulissat forventes færdiggjort i 2026. • entity
- primary activities • Business reviewThe Group has, as in previous years, carried out general contract work during the period, mainly in the form of trafic infrastructure, establishing and renovating supply lines and harbor and marine constructions.Furthermore Munck Civil Engineering Arctic is the contractor on two airport projects in Grønland Nuuk and Ilulissat. In Nuuk the project was finalized in autumn 2025. The projects in Ilulissat is expected to be finalized in 2026. • entity

Dette relaterer sig til en øget aktivitet i Munck Havne & Anlæg, der udfører flere større projekter.Koncernens balance og likviditet er påvirket af forudbetalinger på enkelte projekter.Koncernen og moderselskabets resultat for 2024/25 anses for meget tilfredsstillende. • entity
- development in activities and financial affairs • Financial review The group's income statement for the year ended 30 September 2025 shows a profit of t.kr. 397.727, and the balance sheet at 30 September 2025 shows equity of t.kr. 1.114.149.The level of activity was somewhat higher than last year. This is mainly due to an increased activity in Munck Havne & Anlæg with several larger projects.The balance sheet and cash flow of the group is impacted by prepayment from specific projects.The net profit of the group and parent company for 2024/25 are very satisfactory. • entity

- recognition measurement uncertainty • Recognition and measurement uncertaintiesThere is increased uncertainty regarding some projects, as final clarification has not yet been reached with the client on the financial consequences of delays and changes. This uncertainty means that the valuation of the receivables may be subject to increased uncertainty, and the accounts have been calculated taking this into account. • entity
- recognition measurement uncertainty • When determining the accounting value of certain assets and liabilities estimates is required relating to how future events will affect the value of these assets and liabilities at the balance sheet date.The estimates actually used are based on assumptions that management evaluate is reasonable but which inherently isuncertain and unpredictably. Assumptions for the estimates can be incomplete or inaccurate and unexpected events or circumstances can happen. Furthermore, the company is subject to risks and uncertainness that can lead to that the actual results is different from these estimates. Estimates, that is particular significant for the accounts is mainly recognition of contract in progress and the risks that is associated with production of the contracts. This relates to measuring the value of contracts in progress, determining guarantee liabilities and the expectations of the outcome of disputes.Contracts, including estimates related to recognition and measurement of revenue and gross profitMeasurement of contracts in progress is an assessment of the state of the individual project and the expectations on theremaining part of each contract, including the outcome of disputes. The assessment of the projects state and financials,including disputes, is done individually for each project in a cooperation between project management and topmanagement. Disputes can be related to extra-work, extension of time, claims related to penalties etc. and the assesment is done based on the nature of the situation, knowledge of the owner, the state of negotiations, previous experience. In significant disputes, an legal opinion is part of the basis for assessment.Estimates that is related to the future products of the remaining work depends on a number of factors, just as a projectsassumptions can change during the completion of the project. Furthermore, the assessment of disputes can change as theprojects progress. The actual outcome of individual contracts can therefore be significantly different from the expected outcome on the contracts.Disputes, legal cases and contingent assets and liabilitiesThe group is participant in a number is disputes and legal cases which is normal for the industry. In each case, assessmentis made whether the outcome can lead to recivables or liabilities for the group and the likelihood of such an outcome. Adispute can in some instances also lead to contingent assets or claims against other parts than the owner. Availableinformation and legal assessment from advisors is the basis for management estimate. The outcome can be difficult toasses and the outcome can deviate from the managements assessment.Provisions for guaranty-liabilitiesProvisions for guarantee-liabilities is asses individually for each contract and normally relates to one- and five-yearguarantee work and for some contacts a longer guarantee-period. The level of provisions is based on experience and thecharacteristics of each project. Such estimates is normally associated with uncertainties, and therefore the actualguarantee liabilities and deviate from the estimated. • entity

- contingent liabilities • Koncernen er part i et antal tvister/retssager, som er sædvanlige for branchen. Ingen af disse forventes at få væsentlig indflydelse på koncernens finansielle stilling.Koncernen har modtaget et krav fra de Ghanesiske skattemyndigheder på 99 mGHS. Ledelsen er ikke enige i det fremsatte krav og har anlagt sag ved de ghanesiske domstole for at få indsigelserne behandlet.Selskabet indgår i sambeskatning med de øvrige danske og udenlandske virksomheder. De danske selskaber hæfter ubegrænset og solidarisk for danske selskabsskatter. Skyldig skat af koncernens sambeskattede indkomst fremgår af koncernregnskabet for HC Munck Holding ApS, hvortil der henvises.Koncernens danske selskaber hæfter solidarisk for fællesregistrering af moms.Eventualforpligtelser i moderselskabetMunck Gruppen A/S kautionerer over for Nykredit for 100% af kreditrammen i datterselskaberne Munck Asfalt A/S, Munck Forsyningsledninger A/S, Munck Havne & Anlæg A/S, Munck Civil Engineering A/S, Munck Civil Engineering Arctic A/S, Tarco Ejendom 1 Aps, Tarco Ejendome 2 ApS, Tarco Ejendom 3 Aps, Tarco Ejendom 4 Aps, MF Ejendom 1 Aps, MF Ejendom 2 Aps og Erritsø Erhvervspark ApS. Kreditrammen er per 30. september 2025 ikke benyttet.Endvidere kautionerer Munck Gruppen A/S overfor Nykredit Realkredit A/S for realkreditlån i selskaberne MF Ejendom 1 Aps og MF Ejendom 2 Aps.Munck Gruppen A/S kautionerer for kreditrammen på 6,885 mPLN i datterselskabet Tarcopol sp. Z.o.o, som er beliggende i Polen.Munck Gruppen A/S hæfter som selvskyldnerkautionist for datterselskabernes opfyldelse af nuværende og fremtidige forpligtelser i henhold til kontrakter om arbejdsgarantier overfor flere garantiselskaber.I forbindelse med en række projekter i Munck Havne & Anlæg A/S har Munck Gruppen afgivet erklæring overfor bygherre omkring projektets gennemførsel.Andre eventualforpligtelser, der ikke er indregnet i balancenKoncernen deltager med 28% ejerandel i Fiber og Anlæg I/S. De samlede forpligtelser i Fiber og Anlæg I/S udgør 0 tDKK per 30. september 2025. Herudover deltager koncernen i konsortiet CME-Letbanen I/S (34% andel). None of these is expected to have significant impact on the groups financial position.The group have received a claim of million 99 GHS from Ghana Revenue Authorities. The group do not agree to the claim and has filed a case in the Ghanaian courts to have the objections dealt withThe company is jointly taxed with its danish and international group entities. The danish entities are jointly and severally liable for danish income taxes. For information regarding payable tax of the joint taxation for the group please refer to the Group Accounts for HC Munck Holding ApS.The group’s danish entities have joint and several liability for joint VAT registration.Contingent liabilities for the parent companyMunck Gruppen A/S guarentees in relation to Nykredit for 100% of the credit facility to the subsidaries Munck Asfalt A/S, Munck Forsyningsledninger A/S, Munck Havne & Anlæg A/S, Munck Civil Engineering A/S, Munck Civil Engineering ArcticA/S, Tarco Ejendom 1 Aps, Tarco Ejendome 2 ApS, Tarco Ejendom 3 Aps, Tarco Ejendom 4 Aps, MF Ejendom 1 Aps, MF Ejendom 2 Aps and Erritsø Erhvervspark ApS. The credit facility is not utilised at 30. september 2025.Furthermore Munck Gruppen A/S guarantees towards Nykredit Realkredit A/S for the property loans in the companies MF Ejendom 1 Aps and MF Ejendom 2 ApS.Munck Gruppen A/S guarantees for the credit facility of PLN 6.885 million in the subsidary Tarcopol sp. Z.o.o which is situated in Poland.Munck Gruppen A/S is liable towards several fo the insurance companies regarding present and future liabilities for work guarantees for the subsidaries.In connection with a number of projects in Munck Havne & Anlæg A/S, Munck Gruppen has issued a statement to the client regarding the implementation of the project.Other contingent liabilities not recognised in balance sheetThe group participate as a 28% owner in Fiber og Anlæg I/S. The total liabilities in Fiber og Anlæg I/S is DKK 0 thousands as of September 30th 2025. Furthermore the group participates in the consortium CME-Letbanen I/S (34% share).
